Terms of Service

These Terms of Service ("Terms") govern your access to and use of Niitaka ("Service"), operated by Niitaka ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance

By accessing or using Niitaka, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organisation. If you do not agree with any part of these Terms, you must not use the Service.

2. Description of service

Niitaka is an AI agent observability and control plane platform. It allows you to track agent sessions, log LLM and tool call events, apply policies, monitor costs, and debug agent behaviour in development and production environments.

3. Your account

  • You are responsible for maintaining the confidentiality of your API key and credentials.
  • You must notify us immediately if you suspect unauthorised access to your account.
  • Each account is associated with one organisation. You may invite team members to your organisation.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Transmit data that violates a third party's intellectual property, privacy, or other rights.
  • Use the Service to store or process data in a way that violates HIPAA without having first signed a Business Associate Agreement with us.
  • Resell or sublicense access to the Service without our written permission.

5. Data ownership

You retain full ownership of all data you send to Niitaka, including agent session logs, LLM inputs/outputs, and tool call records. We do not claim any rights over your data. We will not use your data to train AI models or share it with third parties, except as required to operate the Service (see our Privacy Policy).

You can export or delete all your data at any time from your Organisation settings.

6. Service availability

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance, apply updates, or temporarily suspend the Service with reasonable notice where possible. We are not liable for losses arising from downtime or service interruptions.

7. Fees and payment

Free tier access requires no payment. Paid plans (Pro, Enterprise) are subject to the pricing displayed at sign-up or upgrade. Prices may change with 30 days' notice. All fees are non-refundable unless required by applicable law.

8. Termination

You may delete your account at any time from Organisation settings. We may suspend or terminate your account if you materially breach these Terms, with or without notice depending on the severity. Upon termination, your data will be permanently deleted within 30 days.

9. Limitation of liability

To the fullest extent permitted by law, Niitaka shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of or inability to use the Service. Our total liability to you shall not exceed the fees you paid us in the 12 months prior to the event giving rise to the claim.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.

12. Changes to these Terms

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
